Transfer of Undertakings
Landwell has advised a number of large multinational and domestic companies in relation to the legal obligations that arise on an acquisition, sale or outsourcing of a business or part of a business. It is essential that employment law issues are considered early on in the planning stages in commercial transactions. The employment law team works in conjunction with our commercial team to identify and resolve any employment issues at the commencement of a corporate transaction.
Areas of advice include:
- Conducting employment due diligence in preparation for the acquisition/sale;
- Advise on the implications of transfer of undertakings regulations (European Communities (Protection of Employees on Transfer of Undertakings) Regulations 2003));
- Assist in drafting employee communications and communications to employee representatives/trade unions;
- Drafting outsourcing agreements; and
- Representing clients when disputes arise.
